ViaCarat Pre-Launch Terms of Use

Version prelaunch_terms_2026_10_01_v1 · Effective 2026-10-01

Effective date: October 1, 2026
Company: ViaCarat LLC

Website: ViaCarat.com

Contact: support@viacarat.com

These Pre-Launch Terms of Use (the “Terms”) govern your access to and use of ViaCarat.com and ViaCarat’s pre-launch website, waitlist forms, communications, and related features (collectively, the “Site”).

By using the Site or submitting a waitlist form after these Terms are presented to you, you agree to these Terms. If you do not agree, do not use the Site or submit a waitlist form.

1. Pre-Launch Status

ViaCarat is preparing an online marketplace for fine jewelry. The marketplace is not yet open for live buying or selling unless ViaCarat expressly states otherwise on the Site.

Information describing future marketplace features, verification, fees, shipping, returns, seller services, sourcing, certification coordination, or other planned functionality is informational and may change before launch.

Joining a waitlist does not create a buyer-seller relationship, reserve an item, guarantee access, guarantee a launch date, guarantee seller approval, or obligate ViaCarat to provide any future feature.

When marketplace accounts, listings, purchases, or other transactional services become available, additional or replacement terms and policies will apply and will be presented before the relevant activity.

2. Eligibility

You must be at least 18 years old and legally capable of entering a binding agreement to submit a waitlist form or create any pre-launch account feature that ViaCarat may make available.

You may not use the Site in violation of applicable law or to attempt to gain unauthorized access to ViaCarat systems, data, accounts, or services.

3. Waitlist Information

If you join a ViaCarat buyer or seller waitlist, you must provide accurate information.

ViaCarat may use the email address you submit to send the launch notification or other communication that you specifically requested through that form. Unless you separately opt in to broader marketing, ViaCarat will not treat a pre-launch waitlist submission as consent to unrelated promotional email.

You may ask to be removed from the waitlist by using an unsubscribe mechanism in an email or by contacting support@viacarat.com.

4. Intellectual Property

The Site, including ViaCarat’s name, logo, branding, page design, text, graphics, software, and other ViaCarat-created content, is owned by or licensed to ViaCarat and is protected by applicable intellectual-property laws.

You may view and use the Site for your personal or legitimate business evaluation of ViaCarat. You may not copy, scrape, reproduce, distribute, modify, reverse engineer, or exploit Site content or software except as permitted by law or with ViaCarat’s written permission.

Third-party names and trademarks remain the property of their respective owners. Reference to a third party does not imply sponsorship, endorsement, or affiliation unless expressly stated.

5. Acceptable Use

You may not:

  • use the Site for fraud, deception, impersonation, abuse, or unlawful activity;
  • interfere with Site security, availability, or operation;
  • attempt to access data, accounts, systems, or areas you are not authorized to access;
  • introduce malware or harmful code;
  • scrape or use automated systems against the Site in violation of ViaCarat’s instructions or applicable law;
  • submit information that you know is false or misleading; or
  • use the Site in a manner that infringes another person’s rights.

ViaCarat may restrict or block access reasonably necessary to protect the Site, users, or ViaCarat.

The Site may use or link to third-party services such as hosting, analytics, email-delivery, security, or other technology providers.

Third-party services are governed by their own terms and privacy practices. A link or technical integration does not mean ViaCarat guarantees or endorses a third party.

7. Privacy

ViaCarat’s Pre-Launch Privacy Notice explains how information is collected and used during the pre-launch period and is incorporated into these Terms by reference.

8. Electronic Communications

You agree that ViaCarat may provide legal, security, waitlist, and other communications relating to your Site interaction electronically, including by email or Site notice, to the extent permitted by law.

Marketing consent, where required, is handled separately. Unsubscribing from marketing does not prevent ViaCarat from sending legally required, security, or request-specific communications.

9. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

VIACARAT DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT PRE-LAUNCH DESCRIPTIONS, TIMELINES, FEATURES, PRICING, OR OTHER PLANS WILL REMAIN UNCHANGED.

Nothing on the pre-launch Site is an appraisal, valuation, investment recommendation, legal advice, tax advice, gemological opinion, or guarantee concerning any future jewelry transaction.

Nothing in these Terms limits a right or remedy that applicable law does not permit ViaCarat to waive.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIACARAT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, LOST PROFITS, LOST OPPORTUNITY, OR LOSS OF DATA ARISING FROM USE OF THE PRE-LAUNCH SITE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIACARAT’S AGGREGATE LIABILITY ARISING FROM THE PRE-LAUNCH SITE WILL NOT EXCEED $100.

THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT APPLICABLE LAW DOES NOT PERMIT TO BE LIMITED OR EXCLUDED.

11. Informal Dispute Resolution

Before filing arbitration or litigation, you and ViaCarat agree to make a good-faith effort to resolve a dispute informally, except where immediate relief, small-claims relief, or another legally protected remedy makes advance notice impracticable or cannot lawfully be conditioned on this process.

Send a written notice to support@viacarat.com with the subject line “Legal Dispute Notice” describing the issue and requested relief. The parties will attempt to resolve the matter for 30 days after a complete notice is received, unless a shorter period is required by law.

12. Arbitration and Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS HOW DISPUTES ARE RESOLVED.

Except for claims eligible for small-claims court, claims that applicable law does not permit to be arbitrated, and requests for temporary relief necessary to preserve rights, disputes arising out of these Terms or the Site will be resolved by binding individual arbitration under the Federal Arbitration Act.

Arbitration will be administered by the American Arbitration Association under its applicable Consumer Arbitration Rules unless the parties agree otherwise.

To the maximum extent permitted by law, disputes will proceed only on an individual basis and not as a class, collective, consolidated, private-attorney-general, or representative proceeding.

You may opt out of this arbitration provision by emailing support@viacarat.com within 30 days after you first affirmatively accept these Terms. Include your name, the email address used with ViaCarat, and a clear statement that you opt out of arbitration.

13. Governing Law

The Federal Arbitration Act governs the arbitration provision.

Except to the extent preempted by federal law or limited by non-waivable rights, these Terms are governed by Florida law without regard to conflict-of-law principles. For disputes not subject to arbitration, the parties consent to state and federal courts located in Broward County, Florida, except where applicable law gives a user a non-waivable right to proceed elsewhere.

14. Changes

ViaCarat may update these Terms prospectively. The effective date at the top will be updated when material changes are made, and additional notice will be provided where required.
